demerger

Creation of two quoted companies from one. A demerger may be used to spin out an internal business unit that can stand on its own, or it may be a means of dispensing with an unwanted part of a business. Where two quoted companies result, shareholders of the original company will receive shares in the demerged company in direct proportion to their original holding. An example of a demerger is that of Zeneca from ICI in 1993. Shareholders in ICI received one share in Zeneca for every share they held in ICI.
